1. Acceptance of Terms

These Terms of Service ("Terms") form a legally binding agreement between Sucrane Growth Co. (the “Company,” also operating under “Sucrane,” “SGC,” or “Sucrane Growth”) and you, the client ("Client," "you," or "your").

By signing an agreement, submitting payment, or engaging any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms — together with the following governing documents:

  • Your signed Service & Solution Agreement, including any selected plan

  • Our Return & Refund Policy

  • Your individualized Scope of Work (SOW)

  • Our Master Service Agreement (MSA) and Non-Disclosure Agreement (NDA) as incorporated during onboarding

  • Our Earnings & Results Disclaimer, Contributor Relationship Disclosure, and Affiliate Disclosure

These documents collectively define the full scope of our engagement. Sucrane Growth Co. reserves the right to update or modify any of the above at any time. The most current versions will always be made available on our website or via written communication.

2. Nature of Services

Sucrane Growth Co. offers tailored, strategic, and high-performance services, which may include:

  • Digital growth planning and consulting

  • Local SEO, listings, and review generation

  • Conversion-focused website development

  • Brand trust and credibility systems

  • AI automation and CRM integration support

  • Campaign analytics, reporting, and optimization

Each engagement is governed by a corresponding Scope of Work (SOW) outlining exact deliverables, timelines, and responsibilities. Your selected plan or project roadmap is further detailed in your onboarding documentation and initial agreement.

3. Client Responsibilities

To ensure a smooth working relationship, you agree to:

  • Submit all required onboarding documentation and platform access within 7 calendar days

  • Respond to email and approval requests within 2–3 business days

  • Participate in scheduled meetings or provide timely alternatives

  • Cooperate with strategic recommendations and approvals in a timely manner

These obligations are referenced in Section 5 of the MSA and within Exhibit A – Scope of Work. Delays caused by client inactivity may impact delivery timelines but do not suspend payment obligations.

4. Payment Terms

  • Service fees must be paid in advance, unless otherwise outlined in your Scope of Work

  • Payment plans (monthly, milestone-based, or retainers) renew automatically on their scheduled billing cycle

  • Late payments beyond 5 calendar days from the due date may result in service suspension

  • Invoices outstanding beyond 15 days may incur:

    • A daily 10% late fee

    • Archival of project materials

    • Termination of access until payment is received

All payment structures follow the terms set forth in MSA Section 3, your SOW, and are acknowledged in your signed Service & Solution Agreement.

5. Refund & Chargeback Policy

By engaging our services, you agree to the terms outlined in our Return & Refund Policy, which is contractually binding and reinforced in MSA Section 3.5.

In summary:

  • Payments are non-refundable once onboarding begins, deliverables are accessed, or strategic work has been initiated

  • Any exception is reviewed solely at Sucrane’s discretion under narrowly defined circumstances

  • Initiating a chargeback without contacting us first constitutes breach of this Agreement and may trigger legal and financial recovery efforts

6. Project Start & Non-Start Clause

If no meaningful work begins within 21 business days of payment and:

  • You have submitted all required materials

  • You are not the cause of the delay

  • You have fulfilled all client-side responsibilities

You may submit a written request for a refund consideration per our Return & Refund Policy.

This clause supports your protection without compromising the resource planning and administrative work Sucrane commits to your account during that time.

7. Deliverables, Revisions & Scope

All services are defined in detail within your signed Scope of Work (SOW) or onboarding agreement.

You understand and agree that:

  • Deliverables must be reviewed within 5 business days of delivery

  • Revisions outside of the defined SOW may be subject to additional fees

  • Any expansion or change in scope must be mutually agreed upon in writing

This ensures fairness, transparency, and mutual respect in the workflow.

8. Ownership & Usage Rights

Upon full payment:

  • You own the rights to all final, approved deliverables

  • Sucrane retains exclusive ownership of any frameworks, templates, proprietary systems, or automation logic used to create or deliver those assets

  • You are granted a limited license to use such assets for internal business use only

Terms mirror those in MSA Section 6 and NDA Exhibit B Section 6. Unauthorized reproduction, resale, or redistribution is strictly prohibited.

9. Confidentiality

Both parties agree to protect each other’s sensitive business information, including but not limited to:

  • Login credentials and backend access

  • Marketing strategies, analytics, or data

  • Source files and campaign IP

Confidentiality remains enforceable for twenty (20) years after engagement and is governed by NDA Exhibit B Sections 1–4.

10. Portfolio & Promotional Use

Unless explicitly restricted in writing:

  • Sucrane may showcase anonymized versions of completed deliverables

  • No personal or confidential data will be disclosed

  • Metrics, designs, or feedback may be used in portfolio or promotional content

These uses are referenced under MSA Section 11 and further acknowledged in your Service & Solution Agreement.

11. Termination & Inactivity

Either party may terminate services as follows:

  • You: With 30 days’ written notice unless otherwise agreed

  • Sucrane: Immediately upon breach, non-payment, client inaction exceeding 30 days, or abuse of the agreement

Upon termination:

  • All unpaid invoices become immediately due

  • Sucrane may archive or suspend deliverables until payment is made

  • Project access may require a reactivation fee

Termination procedures are governed by MSA Section 14, your SOW, and the Service Agreement summary.

12. Dispute Resolution

If a concern arises, both parties agree to:

  1. Attempt a good-faith resolution by email

  2. Submit a written summary of the concern to contact@sucrane.com

  3. Participate in binding arbitration in Wayne County, Michigan, if unresolved

This process reflects MSA Section 16 and NDA Section 11. Both parties waive the right to trial by jury and agree to confidential arbitration.

13. Limitation of Liability

To the fullest extent allowed by law:

  • Sucrane’s total liability is limited to the amount paid in the three months prior to a claim

  • Sucrane is not responsible for:

    • Third-party outages or vendor failures

    • Algorithmic or platform shifts

    • Misuse or misimplementation of deliverables

This protection is reinforced in MSA Section 12 and your SOW.

14. Indemnity

You agree to defend, indemnify, and hold harmless Sucrane from any claims arising from:

  • Your misuse of services

  • Breach of these Terms, the MSA, or applicable laws

  • Misrepresentations made in the course of the engagement

As outlined in MSA Section 13.

15. Force Majeure

Neither party shall be liable for delays caused by factors outside reasonable control, including:

  • Natural disasters, pandemics, civil unrest

  • Power or internet outages

  • Changes in laws or platform policies

This clause aligns with MSA Section 15.

16. Policy Updates

These Terms may be updated from time to time. We will post the current version at sucrane.com/legal. Continued use of our Services implies acceptance of any revised terms.

17. Governing Law

This Agreement is governed by the laws of the State of Michigan, with jurisdiction in Wayne County. Arbitration procedures and legal standing are defined in MSA Section 16 and NDA Section 11.

18. Entire Agreement

These Terms, together with:

  • The signed Service & Solution Agreement

  • Any executed Scope of Work (SOW)

  • Our Master Service Agreement (MSA)

  • The Non-Disclosure Agreement (NDA)

  • Our Return & Refund Policy

...form the entire agreement between you and Sucrane Growth Co., superseding all prior discussions or informal communications.

1. Purpose of This Policy

Sucrane Growth Co. These services involve customized planning, proprietary intellectual property, creative labor, and integrations with third-party tools or platforms. Due to their personalized and intangible nature, our services are non-returnable and non-refundable once initiated.

3. Exceptions – Limited, Case-by-Case Review

A partial refund may be considered under all of the following exceptional conditions:

  • No work of any kind has been initiated within 21 business days of payment

  • All onboarding steps and client responsibilities were fulfilled on time (including forms, credentials, feedback, and payments)

  • The delay is solely attributable to internal Company failure and not to external factors or client inaction

In such cases, Sucrane Growth Co. reserves the right to deduct administrative fees, resource allocation costs, and schedule holding losses from any potential refund.

No partial refund is guaranteed. All decisions are at the sole discretion of Sucrane Growth Co.

4. Delays, Pauses, and Client Inactivity

Refunds or credits will not be issued for delays resulting from:

  • Failure to provide access credentials or onboarding materials

  • Missed meetings or lack of timely approvals

  • Communication lapses exceeding 7 consecutive calendar days

If a project remains stalled due to client-side inaction for more than 30 days, we reserve the right to archive the project. A reactivation fee may be required to resume services, and project timelines may be renegotiated.

5. Retainers, Packages & Multi-Month Agreements

Each service month within a multi-month engagement is treated as a standalone cycle once initiated.

No refund will be issued for any active or partially completed month, regardless of service status.

If cancellation is requested in advance of future service cycles, a written refund request may be submitted for consideration (see Section 7).

Any approved refund will be subject to deductions based on fulfilled deliverables, hours worked, and resource planning costs.

6. Chargebacks, Disputes, and Fraudulent Claims

By engaging Sucrane Growth Co., you agree to pursue resolution in good faith prior to initiating any chargeback, dispute, or payment reversal with your bank or payment processor.

Unwarranted or bad-faith chargebacks constitute breach of contract. In such events, Sucrane Growth Co. reserves the right to:

  • Immediately suspend or terminate all active or future services

  • Retain legal representation to pursue recovery of lost funds and damages

  • Report abuse to relevant payment processors, credit bureaus, and fraud databases

7. Refund Review Procedure

If you believe you qualify for a refund under Sections 3 or 5, submit a written request to contact@sucrane.com within 7 calendar days of the triggering event.

Your request must include:

  • Your full name and business name

  • Invoice number and transaction date

  • A clear explanation of your request and event timeline

All refund requests will be reviewed within 10 business days, and Sucrane Growth Co.’s determination will be final and binding.

  • Delivered using internal tools, processes, and project oversight

  • Invisible to clients and always supervised by your point of contact

From your perspective, everything is delivered by the Sucrane team. Behind the scenes, we scale smart — with zero compromise to quality, timelines, or communication.

3. Independent Contractor Classification

Any external professional we engage works as an independent contractor under a binding agreement with Sucrane — not as an employee of Sucrane, our clients, or your business. This ensures:

  • No employment taxes, liabilities, or filings apply to you

  • No HR, benefits, or supervision obligations fall on you

  • No shared risk for contractor performance, conduct, or classification

We handle 100% of contributor onboarding, management, payment, compliance, and oversight internally. Our clients are fully insulated from contractor administration and risks.

4. Confidentiality, Ownership & Legal Protections

All contributors — internal or external — operate under strict legal protections, including:

  • Enforceable Non-Disclosure Agreements (NDAs)

  • Intellectual Property (IP) transfer clauses assigning full ownership of all work to Sucrane and its clients

  • Controlled access to platforms and assets

  • Compliance with U.S. data privacy laws and platform-specific security standards

These protocols ensure that your data, deliverables, and strategies remain confidential, secure, and owned by you — as outlined in our:

  • Terms of Service

  • Master Service Agreement (MSA)

5. Delegation with Purpose

When appropriate, Sucrane may delegate specialized tasks to contributors — such as:

  • Media buyers, SEO specialists, or analysts

  • Project support or creative technicians

All such collaborators operate through Sucrane tools, briefs, and supervision. Clients will never need to coordinate with any outside contributor. Our internal leads maintain full control, creative quality, and accountability — ensuring that the client experience remains consistent, elevated, and centralized.

6. Non-Solicitation Agreement

To safeguard our talent network and internal systems, all Sucrane clients agree:

  • Not to directly hire, solicit, or engage any Sucrane-affiliated contractors (past or present)

  • Not to replicate or extract our contributor sourcing model for competitive purposes

  • That doing so constitutes a breach of agreement and may result in service termination and potential legal remedies

This clause applies during any active engagement and for 12 months following the final delivery or service conclusion.

7. Limitations of Client Liability

You acknowledge and agree that:

  • Sucrane Growth Co. is fully responsible for selecting, managing, and compensating any contributors used in your project

  • You are not liable for contributor conduct, misclassification claims, taxes, or deliverables associated with third-party collaborators

  • Any such issues — should they arise — are handled directly and exclusively by Sucrane
